SCHEDULE “A” – STANDARD TERMS AND CONDITIONS
SUNFLOW HEATED DRIVEWAYS INC.
These General Terms and Conditions (the “Terms and Conditions”) are incorporated by
reference into, and form an integral part of, the agreement (the “Agreement”) entered into
between SunFlow Heated Driveways Inc. (“SunFlow”) and the purchaser identified in the
Agreement (the “Purchaser”). Capitalized terms not defined herein have the meanings
ascribed to them in the Agreement.
1. ROLE OF SUNFLOW
SunFlow is a specialty provider of heated driveway and walkway systems, including system
design coordination, supply, installation coordination, and commissioning. SunFlow is not
acting as a general contractor, architect, engineer, or construction manager unless expressly
stated in writing.
2. SCOPE OF WORK
The scope of work is strictly limited to the items expressly described in the Agreement. No
implied services are included. All drawings, measurements, or descriptions provided prior
to execution are approximate only.
3. EXCLUSIONS
Unless expressly stated, the Work excludes landscaping restoration, municipal sidewalks,
permits, utility upgrades, structural remediation, unrelated systems, cosmetic repairs, and
maintenance.
4. SITE CONDITIONS
SunFlow is not responsible for unknown or concealed subsurface conditions, soil instability,
or existing defects.
5. PERFORMANCE DISCLAIMER
The System assists with snow and ice reduction only. No guarantee of complete snow- or
ice-free conditions is provided.
6. WEATHER AND DELAYS
All timelines are estimates only. Delays may result from weather, trade availability,
inspections, or supply chain issues.
7. PAYMENT AND DEPOSITS
Deposits are payable as set out in the Agreement and are non-refundable once costs are
incurred.
8. CHANGE ORDERS
Any change to the scope must be agreed to in writing and may result in additional cost.

9. SUBCONTRACTORS
SunFlow may engage independent subcontractors. SunFlow is not responsible for
manufacturer or subcontractor warranties.
10. GAS AND ELECTRICAL
Gas and electrical work shall be performed by licensed trades. Utility capacity is not
warranted.
11. CONCRETE DISCLAIMER
Concrete cracking, surface variation, and colour differences are normal and expected.
12. WARRANTIES
Only manufacturer warranties apply. No additional warranties are provided by SunFlow.
13. MAINTENANCE
The Purchaser is responsible for ongoing maintenance of the System.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, SunFlow’s liability is limited to the lesser of the
contract price paid or insurance proceeds.
15. INDEMNITY
The Purchaser shall indemnify SunFlow against claims arising from site conditions or third-
party actions.
16. INSURANCE
SunFlow maintains commercial general liability insurance subject to policy terms.
17. DEFAULT AND TERMINATION
SunFlow may terminate the Agreement upon Purchaser default.
18. FORCE MAJEURE
SunFlow is not liable for failure due to events beyond its control.
19. GOVERNING LAW
This Agreement is governed by the laws of the Province of Ontario.
20. SEVERABILITY
Invalid provisions shall be severed without affecting remaining terms.
21. ENTIRE AGREEMENT
These Terms and Conditions form part of the entire agreement between the parties.
22. PRICING ASSUMPTIONS & ADJUSTMENTS

The Contract Price is based on reasonable assumptions regarding existing site conditions,
utility access, and project requirements as understood at the time of execution.
Without limiting the foregoing:
(a) Demolition Assumption – Pricing assumes standard residential driveway construction
and typical subsurface conditions. If unforeseen concealed conditions or structural
elements are encountered that materially increase the scope or cost of demolition or site
preparation, the Contract Price shall be reasonably adjusted.
(b) Gas Piping Allowance – The Contract Price includes up to twenty (20) linear feet of gas
piping from the existing gas service location to the mechanical room. Any additional length
or routing complexity required shall result in a reasonable adjustment to the Contract Price.
(c) Electrical Capacity – Pricing assumes adequate existing electrical capacity for the system
controls and related components. Any required electrical upgrades shall be treated as
additional work.
(d) Permits & Authority Requirements – Municipal permit fees, inspection fees, utility
charges, or authority-imposed compliance costs are not included unless expressly stated.
Any such required costs shall be added to the Contract Price.
Any adjustments under this Section shall be added to the final payment and, where
applicable, may extend the project schedule.
ACKNOWLEDGMENT
By executing the Agreement, the Purchaser acknowledges receipt of and agreement to these
Terms and Conditions.
